Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client", "you", or "your") and A2D Innovations Pvt Ltd ("A2D", "we", "us", or "our").

By accessing our website, requesting a project proposal, booking a consultation call, or engaging A2D for custom MVP development services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our services.

2. Description of Services & Fixed-Scope Engagement

A2D provides rapid minimum viable product (MVP) design, engineering, and deployment services for software startups and founders.

A. Scope Definition & Lock

Prior to commencing any build, A2D and the Client agree upon a written project scope document ("Scope Lock"). Any feature requests, design iterations, or structural modifications requested by the Client outside the agreed Scope Lock will be quoted separately as add-ons and may extend the delivery timeline.

B. Proposal & Quote Validity

All custom quotes and project proposals issued by A2D remain valid for 30 calendar days from the date of issue unless explicitly specified otherwise in writing.

3. Intellectual Property Rights & Code Ownership

We believe founders must own 100% of their product. Our IP ownership terms are straightforward:

• Repositories & Hosting: All source code is deployed directly to your GitHub/GitLab repositories and hosting infrastructure (AWS, Vercel, Supabase, Cloudflare, etc.).
• Pre-existing Tools & Open Source: Open-source libraries, third-party frameworks, and standard development tools utilized in the build remain subject to their respective open-source licenses (e.g. MIT, Apache 2.0).
• Portfolio Rights: Unless restricted by a signed Non-Disclosure Agreement (NDA), A2D retains the limited right to feature completed non-sensitive product visuals and public statements in our portfolio and marketing case studies.

4. Client Responsibilities & Feedback Timelines

Timely delivery relies on mutual cooperation. To ensure your build launches on schedule, the Client agrees to:

• Provide necessary third-party API credentials, domain access, brand assets, and content promptly during Days 01–03.
• Provide consolidated, unambiguous feedback during designated design and build review checkpoints within 24–48 hours of notification.
• Ensure that all materials provided to A2D (logos, images, copy, data) do not infringe upon any third-party intellectual property rights.

5. Pricing, Payment Terms & Refunds

• Payment Milestones: Project engagements typically require a deposit upon Scope Lock prior to kick-off, with the balance due upon final build demonstration and handover, as specified in your statement of work.
• Currency & Taxes: All pricing is quoted in USD or AUD as specified. Prices are exclusive of applicable local taxes (e.g. GST/VAT) unless stated otherwise.
• Refund Policy: Because our engineering schedule is dedicated strictly to a limited number of founders per 14-day cohort, deposits are non-refundable once work on scope definition or design has commenced. If A2D is unable to fulfill a project due to our default, any unearned prepaid funds will be refunded.

6. Warranties & Australian Consumer Law (ACL) Compliance

We stand by the quality of our code and provide 7 calendar days of post-launch support to fix any bugs or technical issues resulting from the original scope.

Notice to Australian Clients (Australian Consumer Law - ACL):

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL) set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). For major failures with the service, you are entitled to:

• Cancel your service contract with us; and
• A refund for the unused portion, or compensation for its reduced value.

Subject to non-excludable statutory guarantees under the ACL or mandatory laws in your jurisdiction, services are otherwise provided "as is" without warranty of uninterrupted or error-free operation.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• In no event shall A2D Innovations Pvt Ltd, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, revenue, or business opportunities) arising out of or related to your use of our services or software.
• Our total cumulative liability for any claims under these Terms, whether in contract, tort (including negligence), or statutory duty, shall be strictly capped at the total amount paid by the Client to A2D for the specific project giving rise to the claim in the six (6) months preceding the event.

8. Termination & Suspension

Either party may terminate a project engagement upon written notice if the other party materially breaches these Terms and fails to cure such breach within 7 days of receiving written notice.

Upon termination, the Client shall pay A2D for all work completed up to the date of termination. A2D will deliver all work-in-progress code and assets corresponding to paid work.

9. Governing Law & Dispute Resolution

These Terms and any non-contractual obligations or disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Both parties agree that any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located in Rajasthan, India, without prejudice to non-excludable statutory protections guaranteed to consumers under local laws.

We reserve the right to update or modify these Terms of Service at any time. Any changes will be posted on this page with an updated "Last Updated" revision date.
